INVESTING IN THE DREAM SERIES - PAY YOURSELF FIRST

THIS AGREEMENT for the licensing of INVESTING IN THE DREAM RADIO SYNDICATION SERIES - PAY YOURSELF FIRST (hereinafter referred to as the Program) for airing in the Principal City of License , in the State of , as specified in Paragraph Five (5), is made this day of , 2000/2001, by and between: Communication whose address is ., Suite, ,ZIP and (hereinafter referred to as "Licensee") owner and operator of Radio Station and KRYSTAL PRESS PUBLICATIONS RADIO SYNDICATION, (hereinafter referred to as KPPRS) located at Three First National Plaza, 70 West Madison , Suite PMB 14042 , Chicago, IL 60602.

IT IS HEREBY AGREED AS FOLLOWS:

  1. TERM:

The term of this Agreement shall be for that period of time specified in Paragraph 5 (Program Selection) unless otherwise stated herein, unless terminated by either party on thirty (30) days written notice to the other party prior to the end of the then-current period and in such event the term hereof shall end on the last day of the then current period. Or, unless there is a conflicting Program Broadcast Licensing Agreement in effect within the Licensee’s Principal City of License or market service area, in which case termination of Licensee’s right to broadcast the program could result. In the event of a conflict concerning the definition of Licensee’s Principal City of License or market service area, Licensee hereby grants to and agrees to be bound by the final determination as exercised by KPPRS.

  1. NUMBER OF BRAODCASTS:

Licensee agrees to broadcast Program(s) between 6am and 12 Midnight, in accordance with the contracted minimum program airings specified in Paragraph 5 (Program Selection). Licensee agrees to broadcast all Programs as supplied by KPPRS including, if any, all national advertisements contained therein as specified in Paragraph 5. Licensee agrees to broadcast all KPPRS promotional spots for the Program(s) as specified in Paragraph 5. If applicable, Licensee agrees to compensate KPPRS with the required number of KPPRS commercial minutes as specified in Paragraph 5.

  1. PROOF OF PERFORMANCE:

Licensee hereby agrees to mail to KPPRS the PROOF OF PERFORMANCE forms supplied by KPPRS, covering performance by Licensee of all KPPRS national sponsor commercial time including, but not limited to, KPPRS commercials and KPPRS promotional spots. This PROOF OF PERFORMANCE, signed by an officer of Licensee and forwarded to KPPRS within one (1) week following Licensee’s receipt of the applicable PROOF OF PERFORMANCE form, shall bear a notation indicating when KPPRS commercials and KPPRS promotional spots were broadcast. In the event that the Program(s) or KPPRS Spots as supplied by KPPRS were broadcast at any time other than those herein agreed to, the PROOF OF PERFORMANCE shall reflect the actual broadcast times and dates.

 

  1. ENTIRE AGREEMENT, NO ORAL MODIFICATION, NO WAIVER:

This contract sets forth the entire understanding of the parties hereto relating to the subject matter hereof, any and all prior negotiations, understanding, agreements, representations, warranties, inducements or the like being superseded by and/or merged into this contract. No modification, amendment, waiver, termination or discharge of this contract or any of the terms or provisions hereof shall be binding upon either party hereto unless confirmed by a written instrument signed by an authorized representative of both parties hereto. No waiver by either party hereto of any term or provision of this contract or of any default hereinafter shall affect said party’s rights thereafter to enforce such term or provision or to exercise any right or remedy in the event of any other default, whether or not similar.

  1. PROGRAM SELECTION:

INVESTING IN THE DREAM : Each program shall consist of the following elements: (a) 90 SEC of Program continuity; (b) ONE (30-60) SEC of commercial "windows" retained by KPPRS; and, (c) ONE (30-60) SEC of commercial "windows" to be retained by Licensee. Local station sponsors shall be non-competitive with national sponsors. Licensee agrees to broadcast INVESTING IN THE DREAM RADIO SERIES (Two minute) Program a minimum of one (1) time in its entirety during each week beginning January 7, 2001 between the hours of 6am and 12 Midnight, as supplied by KPPRS; and, specifically, the twelve (30-60 ) sec of national sponsor advertising per Program, contained therein.

  1. PERFORMANCE RIGHTS:

Licensee hereby agrees that the broadcast of musical compositions or other copy written material contained within the Program(s) are broadcast pursuant to the Licensee’s blanket license fee agreement with the applicable performance rights organization; and, any all fees paid to such organizations as a result of such broadcast(s) are the sole responsibility of the Licensee.

  1. PARAGRAPH HEADINGS:

The titles of the Paragraphs of this Agreement are for convenience only and shall not in any way affect the interpretation of any Paragraph of this Agreement or of the Agreement itself.
